Merchant Content Responsibility and Indemnification

Merchants are solely responsible for all content they provide, generate, select, or publish using the platform using the Scan2Sell platform, including but not limited to images, product descriptions, product listings, and other materials.

By using Scan2Sell, merchants represent and warrant that:

• they own the content they upload or publish, or
• they have obtained all necessary rights, permissions, and licenses required to use the content for commercial purposes

Merchants agree that they will not upload, import, generate, or publish content that infringes the intellectual property rights of any third party, including copyrights, trademarks, trade dress, or other proprietary rights.

Scan2Sell does not verify ownership of user-submitted or user-selected content and does not grant licenses to third-party materials.

Merchants are responsible for ensuring that any content used through the platform complies with applicable intellectual property laws.

Scan2Sell may provide tools that help merchants locate or organize images from third-party sources.

Merchants acknowledge that images found on the internet may be protected by copyright or other intellectual property rights.

Scan2Sell does not guarantee that images discovered through search or automated tools are free to use.

Before publishing any image to their store or any other platform, merchants must ensure that they have the legal right to use that image.

Scan2Sell acts as a facilitation tool and does not supply, license, or provide ownership rights in third-party content.

Scan2Sell complies with the Digital Millennium Copyright Act and maintains a process for responding to copyright infringement notices.

If Scan2Sell receives a valid complaint regarding infringing content, Scan2Sell may remove or disable access to the content and notify the merchant responsible for publishing it.

Repeated violations may result in account suspension or termination.

To the fullest extent permitted by law, merchants agree to defend, indemnify, and hold harmless Scan2Sell, its affiliates, officers, directors, employees, contractors, and partners from and against any claims, demands, damages, losses, liabilities, costs, or expenses, including reasonable legal fees, arising from or related to:

• content uploaded, imported, generated, or published by the merchant
• the merchant’s use of images or other materials without proper authorization
• violations of copyright, trademark, or other intellectual property rights
• the merchant’s violation of these Terms of Service or applicable law

Scan2Sell reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the merchant.

The merchant agrees to cooperate with Scan2Sell in the defense of such claims.

Scan2Sell provides tools designed to assist merchants in creating and managing product listings.

Scan2Sell does not review, verify, or guarantee the legality of content used by merchants.

Merchants are responsible for ensuring that all content they publish through the platform complies with applicable laws and licensing requirements.
