Terms of Service

Scan2Sell provides tools designed to help merchants create and manage product listings more efficiently. You agree to use the platform only for lawful purposes and in compliance with these Terms and all applicable laws, including United States copyright law. You may not use Scan2Sell in any way that could harm the platform, interfere with other users, or violate the rights of others.

Scan2Sell allows merchants to provide limited inputs such as barcodes, product identifiers, or images. Based on these inputs, Scan2Sell may surface or process content related to product information, including descriptions, product details, and images located from third-party sources. Scan2Sell acts as a tool to assist merchants and does not independently verify the accuracy, ownership, or legality of content generated or surfaced through the platform.

Scan2Sell may also surface a manufacturer's suggested retail price (MSRP) or similar price data from third-party sources and, if you turn on automatic pricing, use it to pre-fill a price, compare-at price, or a price converted into your store's currency. Price data may be missing, outdated, wrong, or quoted in a different currency than shown. Any price pre-filled by Scan2Sell is a starting point only. You are solely responsible for reviewing and setting the final price of every product you publish, including any product published with a zero or placeholder price.

Prices, compare-at prices, MSRP references and discount labels (such as a crossed-out price or "Save X%") shown on your store are your pricing claims to your buyers, and they are your responsibility. You are responsible for reviewing all prices before publishing and for making sure any pricing or discount claims comply with the laws that apply to your business.

You are solely responsible for any content you provide, select, generate, or publish using Scan2Sell, including product listings, descriptions, and images. By using Scan2Sell, you expressly assume all risk of liability arising from your use of third-party content surfaced through the platform, including any risk of copyright infringement.

You represent and warrant that:

• you own the content or have the necessary rights to use it
• your use of the content does not infringe any third-party rights
• your content complies with applicable laws and platform policies
• you will use Scan2Sell in full compliance with United States copyright law and all other applicable intellectual property laws

Scan2Sell does not grant licenses to third-party content and does not verify ownership of content. Merchant responsibility for content is also governed by our Merchant Content Responsibility & Indemnification Clause.

Scan2Sell may surface or process content from third-party sources, including images and product data. Scan2Sell makes no representation or warranty, express or implied, that your use of any content surfaced through the platform will be non-infringing of any third-party copyright, trademark, or other intellectual property right.

You acknowledge that:

• third-party content may be protected by copyright or other intellectual property rights
• Scan2Sell does not guarantee that such content is free to use
• you are solely responsible for ensuring you have the legal right to use any third-party content before publishing it
• Scan2Sell's role is limited to providing a tool that locates and displays content — Scan2Sell does not license, endorse, or take responsibility for any third-party content surfaced through the platform

Your use of images is also governed by our Image Acceptable Use Policy.

Scan2Sell may use artificial intelligence to generate or assist in creating product descriptions and related content. AI-generated outputs:

• may contain errors or inaccuracies
• may not be unique or exclusive
• may not be eligible for copyright protection

You are responsible for reviewing and verifying all AI-generated content before publishing. Scan2Sell does not guarantee that AI-generated content is accurate or non-infringing, as per the AI Content Disclaimer.

Scan2Sell respects intellectual property rights and complies with the Digital Millennium Copyright Act. Scan2Sell has registered a designated agent with the United States Copyright Office for the receipt of DMCA notices. If you believe content available through the platform infringes your copyright, you may submit a notice under our DMCA Takedown Policy. Scan2Sell may remove or disable access to content in response to valid notices and may terminate accounts of repeat infringers.

You agree to defend, indemnify, and hold harmless Scan2Sell and its affiliates, officers, employees, and partners from and against any claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the platform
• content you provide, select, generate, or publish
• your use of images or other materials without proper authorization
• your violation of these Terms or applicable law
• any claim by a third party that content you published using Scan2Sell infringes their intellectual property rights

You agree that you will not bring Scan2Sell into any third-party copyright infringement claim or proceeding arising from your use of content sourced through the platform. If you are sued by a third party in connection with content you selected or published using Scan2Sell, you agree to handle that matter independently and at your own expense. Scan2Sell reserves the right to assume control of the defense of any claim subject to indemnification by you, at your expense.

To the fullest extent permitted by law, Scan2Sell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Scan2Sell expressly disclaims any warranty that use of the platform will be free from copyright infringement or that any content surfaced through the platform is licensed for reuse. The platform is provided "as is" with no warranties regarding:

• accuracy or legality of content
• accuracy of any price, MSRP, or currency conversion
• availability of the service
• fitness for a particular purpose
• non-infringement of third-party intellectual property rights

In no event shall Scan2Sell's total liability to you exceed the total amount you paid to Scan2Sell in the three months immediately preceding the claim.

Scan2Sell may suspend or terminate your access to the platform at any time if you violate these Terms or applicable policies. You may stop using the platform at any time.

Your use of Scan2Sell is also governed by our Privacy Policy.

Scan2Sell may update these Terms from time to time. We will update the "Last Updated" date when changes are made. Continued use of the platform after changes means you accept the updated Terms.

These Terms are governed by and interpreted in accordance with the laws of California, USA, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively through binding arbitration in accordance with the rules of JAMS, conducted in San Francisco, California.
